CompSci Resources, LLC Terms of Service

This site, ("Website"), is owned and operated by CompSci Resources, LLC ("CompSci"). Your use of this site, regardless of whether you are a registered user, is subject to this Terms of Service ("TOS") and constitutes your agreement with this TOS. CompSci reserves the right to change this TOS at any time in its sole discretion, with or without notice. Your continued use of this site constitutes your agreement with this TOS.

1.) Registration Obligations

In consideration of your use of the services provided on this Website (the "Services"), you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or any other applicable jurisdiction. You also agree, if requested on this website, to:

(a) provide true, accurate, current and complete information about yourself as prompted by the Services registration form (the "Registration Data") and

(b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if CompSci has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CompSci may suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

2.) CompSci Privacy Policy

Registration Data and certain other information about you is subject to our Privacy Policy. For more information, see our full Privacy Policy. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information.

3.) Your Member Account and Password

You will receive a password and account designation upon completing the Services registration process. You are responsible for maintaining the confidentiality of the password or account and are fully responsible for all activities that occur under your password and account. You agree to:

(a) immediately notify CompSci of any unauthorized use of your password or account or any other breach of security, and

(b) ensure that you exit from your account at the end of each session. CompSci is not liable for any loss or damage arising from your failure to comply with this Section.

4.) International Use

Recognizing the global nature of the Internet, you agree to comply with locally-applicable law, including law regarding online conduct and acceptable content. Further, you agree to comply with all applicable law regarding the transmission of technical data from the United States or the country in which you reside.

5.) Contributions to CompSci

By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to CompSci through its suggestion or feedback webpages, you acknowledge and agree that:

(a) your Contributions do not contain confidential or proprietary information;

(b) CompSci is not under any obligation of confidentiality, express or implied, with respect to the Contributions;

(c) CompSci shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide;

(d) CompSci may have something similar to the Contributions already under consideration or in development;

(e) your Contributions automatically become the property of CompSci without any obligation of CompSci to you; and

(f) you are not entitled to any compensation or reimbursement of any kind from CompSci under any circumstances.

6.) Indemnity

You may not use this site or any of the Services for any purpose that is unlawful or prohibited by this TOS. You agree to indemnify and hold CompSci and its subsidiaries, affiliates, members, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys fees, made by any third party due to or arising out of content you submit, post, transmit or otherwise make available to or receive through the Services, your use of the site or Services, your connection to the Services, your violation of the TOS or any other applicable law, or your violation of any rights of another.

7.) No Resale of Services

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Website or Services, use of Website or Services, or access to the Website or Services, including the XBRL "Taxonomy Search" tool.

8.) Modifications to Services

CompSci reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice, to all or a subset of users. You agree that CompSci shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

9.) Termination

You agree that CompSci may, without prior notice, immediately terminate your CompSci account, any associated email address, and access to any of the Services. Cause for such termination shall include, but not be limited to,

(a) breaches or violations of the TOS or other incorporated agreements or guidelines,

(b) requests by law enforcement or other government agencies, 

(c) a request by you (self-initiated account deletions),

(d) discontinuation or material modification to the Services (or any part thereof),

(e) unexpected technical or security issues or problems,

(f) extended periods of inactivity,

(g) engagement by you in fraudulent or illegal activities,

(h) nonpayment of any fees owed by you in connection with the Services, and/or

(i) CompSci's decision, in its sole and absolute discretion, to terminate your access to any or all of the Services.

Termination of your CompSci account includes:

(a) removal of access to all offerings within the Services,

(b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and

(c) barring of further use of the ServicesService. Further, you agree that any termination for cause shall be made in CompSci's sole discretion and that CompSci shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Services.

10.) Links

The Services may provide, or third parties may provide, links to other World Wide Web sites or resources. Because CompSci has no control over such sites and resources, you acknowledge and agree that CompSci is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that CompSci shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

11.) Proprietary Rights of CompSci, Licensors and Contributors

You acknowledge and agree that the Website and all of its contents, including but not limited to articles, other text, photographs, images, illustrations, graphics, video material, audio material, software and business processes, Services, and the selection, coordination and arrangement of data (collectively the "Intellectual Property"), are protected by copyright, trademark and other laws of the United States, as well as international conventions and the laws of other countries. The Intellectual Property is owned or controlled either by CompSci or the party credited as the provider of the Intellectual Property. Additionally, the collection of the data itself is protected by copyright as a collective work and/or compilation. Notwithstanding the foregoing, CompSci does not claim any rights in any data extracted from public records. CompSci grants you a personal, non-transferable and non-exclusive license to use the Website, including the Intellectual Property and the software provided to you by CompSci as part of the Services ("Software"). This license is for the sole purpose of enabling you to use the Services in the manner permitted by the TOS. You may not (and may not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Services, or Intellectual Property, or Software, or any part thereof, unless this is expressly permitted or required by law, or unless you have been specifically told that you may do so by CompSci, in writing. 

12.) You Expressly Understand and Agree That:

(a) Your use of the Services is at your sole risk. The Services are provided on an "as is" and "as available" basis. CompSci and its subsidiaries, affiliates, members, officers, employees, agents, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

(b) CompSci and its subsidiaries, affiliates, members, officers, employees, agents, partners and licensors make no warranty that:

the Services will meet your requirements.

the Services will be uninterrupted, timely, secure or error-free.

the results that may be obtained from the use of the Services will be accurate or reliable.

the quality of any products, Services, information or other material purchased or obtained by you through the Services will meet your expectations.

any errors in the software will be corrected, even if brought to our attention.

(c) Any material downloaded or otherwise obtained through the use of the Services is accessed at your own risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

(d) No advice or information in any form obtained by you from CompSci or through or from the Services shall create any warranty not expressly stated in the TOS. 

13.) Limitation of Liability

You expressly understand and agree that CompSci and its subsidiaries, affiliates, members, officers, employees, agents, partners and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Compsci has been advised of the possibility of such damages), resulting from:

(a) the use or inability to use the Services,

(b) the cost of procurement of any substitute goods and Services;

(c) unauthorized access to or alteration of your transmissions or data;

(d) statements or conduct of any third party on the Services;

(e) any error or omission in data caused by the Services; or

(f) any other matter relating to the Services.

14.) Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations of sections 12 and 13 may not apply to you.

15.) No Third-Party Beneficiaries

You agree that, except as otherwise expressly provided in the TOS, there shall be no third-party beneficiaries to this agreement.

16.) General Information

Entire Agreement. The TOS constitutes the entire agreement between you and CompSci and governs your use of the Services, superseding any prior agreements between you and CompSci with respect to the Services. You may, however, be subject to additional terms and conditions that may apply when you use or purchase certain other CompSci services, affiliate services, third-party content or third-party software.

Choice of Law and Forum. The TOS and the relationship between you and CompSci shall be governed by the laws of the Commonwealth of Virginia without regard to its conflict of law provisions. You and CompSci agree to submit to the personal and exclusive jurisdiction of the courts located within the Eastern District of Virginia.

Waiver and Severability of Terms. The failure of CompSci to exercise or enforce any right or provision to the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the other provisions of the TOS shall remain in full force and effect.

No Right of Survivorship and Non-Transferability. You agree that your CompSci account is non-transferable and any rights within your account terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.

Assignment. CompSci may assign its rights and obligations under this Agreement in its sole discretion.

Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Periodic Maintenance. Maintenance, upgrades and the like to the Services and related systems and Software may be required periodically. Such activities generally will occur between the hours of 12:00 a.m. EDT/EST through 8:00 a.m. EDT/EST, but CompSci does not guarantee that maintenance will occur in that timeframe. Services on such occasions could be affected but CompSci shall attempt to limit any disruptions or interference.
